1. Acceptance of Terms

By participating in Groundwork Run Club activities or using our services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not participate in our activities or use our services. Groundwork Run Club is operated by Palladic Standard LLC.

2. Eligibility

Participation in Groundwork Run Club is open to individuals of all ages. Minors under the age of 18 must have parental or guardian consent to participate. By participating, you represent that you meet these eligibility requirements.

3. Assumption of Risk

Running and physical activity involve inherent risks, including but not limited to:

• Physical injury, including sprains, strains, fractures, or more serious injuries

• Property damage or loss

• Risks associated with weather conditions, terrain, traffic, and other environmental factors

By participating in Groundwork Run Club activities, you acknowledge and accept these risks. You agree that you are voluntarily participating with full knowledge of the risks involved and assume all responsibility for your participation.

4. Health and Fitness

You represent that you are in good physical health and have no medical conditions that would prevent safe participation in running activities. You are responsible for consulting with a healthcare provider before participating if you have any concerns about your health or fitness. Groundwork Run Club does not provide medical advice, and participation is at your own risk.

5. Waiver of Liability

To the fullest extent permitted by law, you agree to release, waive, discharge, and hold harmless Groundwork Run Club, Palladic Standard LLC, and their respective officers, employees, volunteers, and agents (collectively, "Released Parties") from any and all liability, claims, demands, actions, or rights of action for damages, personal injury, death, or property loss arising out of or related to your participation in run club activities. This waiver applies regardless of whether such claims are based on negligence, contract, tort, or any other legal theory.

6. Indemnification

You agree to indemnify and hold harmless the Released Parties from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your participation in Groundwork Run Club activities, including but not limited to claims arising from your violation of these Terms or your negligence or misconduct.

7. Code of Conduct

Participants are expected to:

• Treat all participants, organizers, and members of the public with respect and courtesy

• Follow all applicable laws and regulations, including traffic laws

• Refrain from behavior that is disruptive, dangerous, or harmful to others

Groundwork Run Club reserves the right to remove any participant who violates this Code of Conduct or engages in behavior that is deemed inappropriate or unsafe.

8. Privacy and Communications

Your use of our services is subject to our Privacy Policy, which is incorporated into these Terms by reference. By participating, you consent to receive communications from Groundwork Run Club, including emails and text messages regarding runs, events, and club announcements. You may opt out of communications at any time by following the unsubscribe instructions or replying STOP to text messages.

9. Intellectual Property

All content, materials, and branding associated with Groundwork Run Club, including but not limited to logos, text, graphics, and images, are the property of Palladic Standard LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, or distribute any such content without our prior written consent.

10. Photography and Media

By participating in Groundwork Run Club activities, you consent to being photographed, filmed, or otherwise recorded. You grant Groundwork Run Club and Palladic Standard LLC a perpetual, royalty-free, worldwide license to use your name, image, likeness, and voice in any media for promotional, marketing, or other business purposes. If you do not wish to be photographed or recorded, please inform an organizer.

11. Modifications to Services

Groundwork Run Club reserves the right to modify, suspend, or discontinue any aspect of our services, including run schedules, locations, and events, at any time without prior notice. We are not liable for any changes or cancellations.

12. Third-Party Services

Our services may include links to or integrations with third-party websites, platforms, or services. We are not responsible for the content, terms, or practices of any third parties. Your use of third-party services is at your own risk and subject to their respective terms and policies.

13. Limitation of Liability

To the fullest extent permitted by law, the Released Parties shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or related to your participation in Groundwork Run Club activities. Our total liability to you for any claims arising under these Terms shall not exceed $100.

14. Dispute Resolution

Governing Law: These Terms are governed by the laws of the State of Ohio, without regard to its conflict of laws principles.

Arbitration: Any dispute arising out of or related to these Terms or your participation in Groundwork Run Club activities shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Ohio, and the decision of the arbitrator shall be final and binding.

Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in a class action or representative proceeding.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the extent necessary to make it valid and enforceable while preserving its intent.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Groundwork Run Club regarding your participation in our activities and supersede all prior agreements or understandings.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website or through other communication channels. Your continued participation in Groundwork Run Club activities after such changes constitutes acceptance of the updated Terms.
